Chapter I General Provisions

Article 1
The name of this association is the Taipei City Parent-Child Sharing Economic Education Promotion Association (hereinafter referred to as the Association).

Article 2
This association is a non-profit social organization established in accordance with the Civil Organizations Act.

Article 3
Our mission is to educate and promote a parent-child sharing economy to support environmental protection. We contribute to the planet through the sharing economy and ensure children have a more equal childhood. By allowing parents and children to experience the sharing economy together, we educate the next generation, enabling them to understand and embrace sharing from a young age. This allows sharing to become a tangible part of modern life, truly reducing overconsumption and overproduction, thereby alleviating the burden on the Earth's ecosystem and restoring its balance.

Article 4
The Association is organized within the administrative area of Taipei City.

Article 5
The association is headquartered in Taipei City.

Article 6
The mission of this association is as follows:
1. Promote the sharing economy as an alternative to purchasing.
2. Promote the parent-child sharing economy.
3. Promote the sharing economy to create more equal childhoods.
4. Organize educational activities related to the sharing economy.
5. Establish and share parent-child sharing economy information network.
6. Share industry success stories through the platform.
7. Assist start-ups to develop the parent-child sharing economy.
8. Encourage businesses to develop parent-child sharing economy options.
9. Let more people know the benefits of the parent-child sharing economy.
10. Let the public understand the contribution of the sharing economy to environmental protection.
11. Implement the parent-child sharing economy in daily life, including food, clothing, housing, transportation, education and entertainment.
12. Provide services within the shared economy within the association to children from disadvantaged families.

第一章  總則

Chapter 2 Membership

Article 7
There are four types of members in the Association:
1. Individual Membership:

Anyone who is registered in or works in this city, agrees with the association's purpose, is 20 years of age or older, has the ability to act, and has relevant experience in the shared economy, can become an individual member after completing an application form, being approved by the board of directors, and paying the membership fee.

2. Group Members:

Any public or private institution or group in this city registered with the government, who agrees with the purpose of the Association, completes an application for membership, is approved by the Board of Directors, and pays the membership fee, shall become a group member. Group members shall nominate one representative to exercise their rights.

3. Sponsoring Members:

Any group or individual who sponsors the association's annual membership fee of NT$20,000.
4. Honorary Members:

Any group or individual who sponsors the Association's work and donates NT$200,000 or more.

Article 8
If a member (member representative) violates laws, the charter, or fails to comply with the resolutions of the general meeting of members (member representatives), he or she may be given a warning or suspended upon resolution of the board of directors. If the damage to the group is serious, he or she may be expelled upon resolution of the general meeting of members (member representatives).


Article 9
A member shall be expelled from the association if he/she has any of the following circumstances:
1. Death
2. Loss of membership (member representative) status.
3. Those who are expelled by resolution of the general meeting of members (member representatives).

Article 10
Members may withdraw from the Association by stating the reasons in writing.

Article 11
Fees paid by members after leaving or withdrawing from the membership are not refundable.

Article 12
Members (member representatives) have the right to vote, elect, be elected, and remove. Each member (member representative) has one right.

Article 13
Members are obliged to abide by the association's constitution, resolutions, and pay membership dues.
If a member has been in arrears with dues for more than one month and has not paid dues for more than one month after being asked to do so, the board of directors may, upon resolution, suspend the member and prohibit him from participating in meetings, being elected as a director or supervisor, or enjoying any rights and benefits within the group.

Chapter III Organization and Powers

Article 14
The Association's highest authority is the General Assembly (or Member Representatives Assembly); the Board of Directors serves as the executive body, and the Supervisory Board serves as the supervisory body. However, if the Association's membership exceeds 300, it may be divided into regions, with representatives elected in proportion to the number of members, and then convene a joint General Assembly to exercise the powers of the General Assembly. The division of regions and the allocation of seats to be elected as described in the preceding paragraph shall be reported to the competent authority for approval.

Article 15
The powers of the General Meeting of Members (Member Representatives) are as follows:
1. Establish and amend the Articles of Association.
2. Elect or remove directors and supervisors.
3. Decide on the amount and method of membership fees and annual dues.
4. Decide on the annual work plan, report, budget and final accounts.
5. Decide on the removal of members (member representatives).
6. Decide on the disposition of property.
7. Decide on the dissolution of the group.
8. Determine other important matters related to the rights and obligations of members.

Article 16
The Association shall have nine directors and three supervisors, who shall be elected by members (member representatives) to form the Board of Directors and the Board of Supervisors respectively.
During the election of the directors and supervisors referred to in the preceding paragraph, one alternate director and one alternate supervisor shall be elected simultaneously. In the event of a vacancy in the director or supervisor position, such vacancy shall be filled in descending order, limited to the remainder of the term of the incumbent. The order of election of directors, supervisors, alternate directors, and alternate supervisors shall be determined by the number of votes received. In the event of a tie, the election shall be determined by drawing lots.

Article 17

The powers of the Board of Directors are as follows:
1. Decide on matters concerning the convening of the general meeting of members (member representatives).
2. Review the qualifications of members (member representatives).
3. Elect or remove executive directors and the chairman.
4. To decide on the resignation of a director, executive director or the chairman.
5. Hire and dismiss staff.
6. Prepare annual work plans, reports, budgets, and final accounts.
7. Other actions that must be performed.

Article 18

The Board of Directors shall have one Executive Director, elected by the Board of Directors. The Board of Directors shall select one of the Executive Directors as the Chairman. The Chairman shall oversee the affairs of the Association internally, represent the Association externally, and chair the General Meeting of Members (Member Representatives) and the Board of Directors. The Chairman shall attend meetings as required by the Association. If the Chairman is unable to perform his duties, he shall designate an Executive Director to act in his place. If no such designation is available, the Executive Directors shall elect a person to act in his place.

Article 19
The powers of the Supervisory Board are as follows:
1. Supervise the execution of the work of the Board of Directors.
2. Review the annual financial statements.
3. Elect or remove standing supervisors.
4. Decide on the resignation of a Supervisor or Executive Supervisor.
5. Other matters that require supervision.


Article 20

The Board of Supervisors shall have one Executive Supervisor, who shall be elected by the Supervisors from among themselves, to oversee the daily affairs of the Board and serve as Chairman of the Board of Supervisors.

Article 21
The term of office of directors and supervisors is four years and they may be re-elected. The chairman may be re-elected only once.
The term of office of directors and supervisors shall commence on the date of the first meeting of the board of directors.

Article 22
Directors and supervisors are all unpaid positions.

Article 23
Directors and supervisors who commit any of the following offenses shall be dismissed immediately:
1. Loss of membership (member representative) status.
2. Resignation for any reason approved by the board of directors or the board of supervisors.
3. Those who have been dismissed or removed from office.
4. The suspension period exceeds one-half of the term.

Article 24
The Association shall have a Chief Executive Officer and several other staff members, who shall be nominated by the Chairman and appointed after approval by the Board of Directors. Such appointments shall be reported to the competent authority for recordation, and the same shall apply to their dismissal.

Article 25
The directors and supervisors of the Association may not concurrently serve as association staff.

Article 26
The Association shall establish a branch organization, and its organizational charter shall be drafted by the Board of Directors, stating the basis for establishment, composition, mission, funding source, etc., and shall be submitted to the Board of Directors for approval and then reported to the competent authority for implementation.

Article 27

The Association may appoint one Honorary Chairman, one Honorary Director, and one Advisor (all of whom are voluntary positions) through the Board of Directors. Their terms of appointment shall be the same as those of the Directors and Supervisors.

Chapter IV Meeting

Article 28
General meetings of members (member representatives) are divided into regular meetings and extraordinary meetings. They are convened by the chairman of the board of directors and must be notified in writing 15 days in advance. Regular meetings are held annually; extraordinary meetings are held when the board of directors deems it necessary, upon the request of more than one-fifth of the members (member representatives), or upon a written request from the board of supervisors.

Article 29
When a member (member representative) is unable to attend the general meeting of members (member representatives) in person, he or she may authorize another member (member representative) to act on his or her behalf in writing. Each member (member representative) may only act as a proxy for one person.

Article 30
Resolutions of a general meeting of members (member representatives) shall be made by the attendance of more than half of the members (member representatives), or by the approval of more than half of the attendees or a higher majority. However, resolutions on the following matters shall be made by the approval of more than two-thirds of the attendees.
1. Establishment and amendment of the Articles of Association.
2. Expulsion of members (member representatives).
3. Removal of directors and supervisors.
4. Disposition of property.
5. Dissolution of the group.
6. Other important matters related to the rights and obligations of members.

Article 31
The Board of Directors and the Board of Supervisors shall meet at least once every six months and may convene joint meetings or ad hoc meetings when necessary. Except for ad hoc meetings, the meetings referred to in the preceding paragraph shall be convened with seven days' written notice. Resolutions at the meetings shall be made with the attendance of a majority of the directors and supervisors, or with the approval of a majority or greater of the attendees.

Article 32
Directors and Supervisors shall attend the meetings of Directors and Supervisors in person and may not delegate to others to attend. Two consecutive absences without cause shall be deemed as resignation and shall be filled by alternate Directors and alternate Supervisors in that order.

Article 33
The Association shall submit a written report to the competent authority for recordation of the meeting type, time, and location, along with the agenda, fifteen days prior to convening a general meeting of members (members' representatives), or seven days prior to convening a board of directors or supervisory board meeting. Minutes of a general meeting of members (members' representatives) shall be submitted to the competent authority for recordation within thirty days of the meeting.

Chapter 5 Funding and Accounting

Article 34
The Association's funding sources are as follows:
1. Membership Fee: Members must pay a one-time fee of NT$1,000 upon joining.
2. Annual membership fee: NT$1,000 per year.
3. Donations from members.
4. Entrustment income.
5. Funds and their interest.
6. Other income.

Article 35
The fiscal year of the Association shall run from January 1 to December 31 of each year.

Article 36
The Association shall prepare a budget (or final) report each year. Within two months before (or after) the end of each year, the report shall be reviewed by the Board of Directors, submitted to the General Meeting of Members (Members' Representatives) for approval, and reported to the competent authority for approval. If the General Meeting of Members (Members' Representatives) cannot be convened in a timely manner for any reason, the report shall first be submitted to the competent authority and then to the General Meeting for ratification. However, the final report shall first be submitted to the Supervisory Committee for review, and the review results shall be submitted to the General Meeting of Members (Members' Representatives) together with the report.

Article 37
Upon dissolution, the remaining property of the Association shall belong to the local self-governing body or any other organization designated by the competent authority.

第五章  經費及會計

Chapter VI Supplementary Provisions

Article 38
Matters not stipulated in this charter shall be handled in accordance with relevant laws and regulations.

Article 39
The Association's operating rules shall be formulated by the Board of Directors.

Article 40
This Charter shall be adopted by the general meeting of members (member representatives) and reported to the competent authority for approval before implementation. The same applies to any amendments.
